Vendor Terms of Service

Parties
These terms form a legally binding agreement between:
Tastebud: TASTEBUDOFFICIAL LTD, a company registered in England and Wales (Companies House number: 16665627), whose registered address is 16 Bellevue Road, Bristol, BS4 2BG, operating the Tastebud platform at app.tastebudofficial.co.uk.
Vendor: The food business, trader, or operator (whether a sole trader, partnership, or limited company) who registers to list their menu, allergen information, and dietary data on the Tastebud platform.
By registering on the Tastebud platform, the Vendor agrees to be bound by these terms.
1. What Tastebud Is (and Isn't)
1.1 Tastebud is a technology platform. It collects allergen and dietary information declared by Vendors and displays it to consumers to help them identify food options that suit their dietary needs.
1.2 Tastebud is not a food safety authority, an allergen inspection body, or a guarantor of any information published on the platform. Tastebud does not independently verify the accuracy of allergen or dietary data provided by Vendors.
1.3 Tastebud displays what Vendors declare. The responsibility for the accuracy, completeness, and currency of all allergen and dietary information rests entirely with the Vendor.
2. Vendor Obligations
2.1 The Vendor is solely responsible for the accuracy of all allergen and dietary information submitted to the Tastebud platform, including:

the presence or absence of any of the 14 FSA-regulated allergens in dishes and menu items
-
dietary status (for example, vegan, vegetarian, gluten-free, halal, kosher)
-
cross-contamination risks and preparation environment details
-
any additional allergen or ingredient information provided

2.2 The Vendor must ensure that all information submitted is accurate at the time of submission and kept up to date. If a menu changes, ingredients change, or any allergen information changes, the Vendor must update their Tastebud listing without undue delay and in any event within 48 hours of the change.
2.3 The Vendor must not knowingly submit inaccurate, incomplete, or misleading allergen or dietary information.
2.4 The Vendor confirms that they hold any relevant food hygiene certificates and comply with applicable food safety legislation, including the Food Information Regulations 2014 (as amended).
2.5 The Vendor agrees not to use the Tastebud platform to publish false or misleading information about their food business.
3. Digital Sign-Off and Event Activation
3.1 Before any Vendor's data is made visible to consumers at a specific event, the Vendor must complete a Digital Sign-Off through the Tastebud platform. This is a per-event confirmation that all menu data, allergen declarations, and cross-contamination information submitted for that event are accurate and complete at the time of signing.
3.2 By completing a Digital Sign-Off, the Vendor confirms that:

all information submitted for that event is accurate and complete to the best of their knowledge

all allergen declarations comply with the Food Information Regulations 2014 and applicable FSA guidance

they will notify Tastebud of any material changes to menu items, ingredients, or allergen status as soon as reasonably practicable before the relevant event
3.3 No Vendor data will be made visible to consumers at an event until the Digital Sign-Off for that event has been completed. These terms govern the Vendor's ongoing account and platform use; the Digital Sign-Off is an additional per-event obligation.
4. Licence to Display Vendor Data
4.1 By submitting data to the Tastebud platform, the Vendor grants Tastebud a non-exclusive, royalty-free licence to:
-
store and process the Vendor's menu, allergen, and dietary data
-
display that data to consumers via the Tastebud app and website
-
use anonymised and aggregated data for product development, research, and reporting purposes
4.2 The Vendor retains ownership of all data they submit. This licence does not transfer ownership of Vendor data to Tastebud.
4.3 Tastebud retains ownership of the platform, its software, design, compiled datasets, and all intellectual property in the Tastebud service itself.
5. Liability and Indemnity
5.1 Tastebud accepts no liability for any loss, injury, illness, allergic reaction, or death arising from a consumer's reliance on allergen or dietary information published on the platform, where that information was provided by the Vendor.
5.2 The Vendor shall indemnify and hold harmless Tastebud, its directors, employees, and agents against any claims, losses, damages, costs (including reasonable legal costs), or liabilities arising from:

inaccurate, incomplete, or out-of-date allergen or dietary information submitted by the Vendor
-
the Vendor's failure to update information following a menu or ingredient change
-
any breach by the Vendor of these terms
5.3 Tastebud's total liability to the Vendor under or in connection with these terms shall not exceed £500, regardless of whether the Vendor uses the platform on a free or paid basis.
5.4 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.
6. Consumer Safety Incidents
6.1 If Tastebud receives a report from a consumer alleging an allergic reaction or food safety incident that may be linked to a Vendor's listing, Tastebud may suspend that Vendor's listing from the platform pending investigation.
6.2 The Vendor agrees to cooperate with any reasonable investigation by Tastebud, including providing updated allergen information, relevant food hygiene records, or other information Tastebud reasonably requests.
6.3 Tastebud will notify the Vendor of any suspension and the reason for it as soon as reasonably practicable. The Vendor will have the opportunity to provide information before any permanent removal decision is made.
7. Tastebud's Rights
7.1 Tastebud reserves the right to:
-
suspend or remove a Vendor's listing if allergen or dietary information is found to be inaccurate, incomplete, misleading, or out of date
-
request updated allergen or dietary information from a Vendor at any time
-
remove content that Tastebud reasonably believes breaches these terms or applicable law
-
update the platform, its features, and these terms from time to time
7.2 Where Tastebud removes a Vendor listing under clause 7.1, Tastebud will notify the Vendor of the reason and provide an opportunity to rectify the issue within a reasonable timeframe before permanent removal.
8. Fees
8.1 Tastebud offers both a free tier and a paid tier of the platform. The features available on each tier are set out on the Tastebud website and may be updated from time to time.
8.2 Any change to the fee structure for existing Vendors will be communicated with at least 30 days' written notice. A Vendor who does not wish to accept a fee change may terminate this agreement in accordance with clause 11.
8.3 Any agreed paid fees are set out in a separate order form or pricing agreement between Tastebud and the Vendor.
9. Data Protection
9.1 Each party shall comply with its obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
9.2 Tastebud will process personal data provided by the Vendor (such as contact name, email address, and phone number) in accordance with its Privacy Policy, available at tastebudofficial.co.uk.
9.3 The Vendor is responsible for ensuring they have appropriate legal bases to share any personal data with Tastebud, including any personal data embedded in submitted content.
10. Confidentiality
10.1 Neither party shall disclose the other's confidential information to any third party without prior written consent, except where required by law or where the information is already in the public domain.
10.2 Confidential information does not include information that is publicly available on the Tastebud platform by design (such as menu and allergen data), which the Vendor has expressly authorised for public display.
11. Term and Termination
11.1 These terms take effect when the Vendor registers on the Tastebud platform and remain in force until terminated by either party.
11.2 Either party may terminate this agreement by giving 30 days' written notice to the other.
11.3 Tastebud may terminate this agreement with immediate effect if:

the Vendor materially breaches these terms and fails to remedy the breach within 14 days of notice
-
Tastebud reasonably believes that the Vendor's listing poses a risk to consumer safety
-
the Vendor's food business ceases to operate
11.4 On termination:
-
the Vendor's listing and data will be removed from the Tastebud platform within a reasonable timeframe
-
the Vendor's right to use the platform ceases immediately
-
clauses 5 and 10 survive termination
12. Changes to These Terms
12.1 Tastebud may update these terms from time to time. Where changes are material, Tastebud will notify Vendors by email at least 30 days before the changes take effect.
12.2 Continued use of the Tastebud platform after the effective date of any updated terms constitutes acceptance of those terms. If a Vendor does not accept the updated terms, they may terminate this agreement in accordance with clause 11.
13. General
13.1 Governing law. These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13.2 Entire agreement. These terms (together with any separate order form or pricing agreement) constitute the entire agreement between the parties relating to the Vendor's use of the Tastebud platform and supersede all prior discussions and agreements.
13.3 Severance. If any provision of these terms is found to be unlawful, void, or unenforceable, that provision shall be severed from the remaining terms, which shall continue in full force.
13.4 Waiver. Tastebud's failure to enforce any provision of these terms on any occasion shall not constitute a waiver of Tastebud's right to enforce that provision on any future occasion.
13.5 No partnership. Nothing in these terms creates a partnership, joint venture, agency, or employment relationship between Tastebud and the Vendor.
